Non-Disclosure Agreement — Digital Content

Phyto Evolution Pvt Ltd (“Company”, “we”, “us”) agrees to share certain proprietary technical information (“Confidential Information”) with you, the purchasing party (“Recipient”), subject to the following terms. By completing a purchase of any Digital Content product, you electronically accept this Agreement in full.

1. Confidential Information

“Confidential Information” means all tissue culture protocols, growth media formulations, step-by-step procedures, explant preparation methods, hormone concentrations, contamination control strategies, acclimatisation procedures, and any other technical or scientific content contained in documents provided by the Company through purchase of Digital Content products.

2. Non-Disclosure Obligation

You agree to hold all Confidential Information in strict confidence. You shall not disclose, distribute, publish, reproduce, or transmit any Confidential Information to any third party in any form — digital, printed, or otherwise — without prior written consent from Phyto Evolution Pvt Ltd.

3. Permitted Use

You may use the Confidential Information solely for your own internal research, education, or non-commercial propagation purposes. Commercial use, redistribution, or resale of the protocols or derivatives thereof is expressly prohibited without a separate written licensing agreement with the Company.

4. Prohibited Use

You shall not: (a) use the Confidential Information to develop competing commercial products or services; (b) use the information to file patent applications; (c) sub-license or transfer this Agreement; (d) reverse-engineer for the purpose of commercial exploitation.

5. No Liability for Outcomes

All protocols are provided as technical reference documents only. Tissue culture is a skilled laboratory procedure dependent on equipment, environmental conditions, materials quality, and operator technique that are entirely beyond the Company’s control. Phyto Evolution Pvt Ltd makes no representation or warranty, express or implied, that any protocol will produce successful results in your specific conditions. The Company shall not be held liable for any direct, indirect, incidental, or consequential losses, including crop failure, contamination, loss of biological material, or financial loss arising from use of the purchased protocols.

6. Intellectual Property

All protocols remain the exclusive intellectual property of Phyto Evolution Pvt Ltd. Purchase confers a limited, non-exclusive, non-transferable licence to use the document. No ownership or patent rights are transferred.

7. Duration

This Agreement is effective from the date of purchase and continues for a period of five (5) years, or until Phyto Evolution Pvt Ltd releases the information into the public domain, whichever comes first.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu, India.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the Confidential Information and supersedes all prior negotiations, representations, or agreements relating thereto.
